Luxembourg offers a wide arsenal of company forms allowing economic actors to opt for the most suited one. However, navigating through the various forms and having a clear understanding of their pros and cons may reveal a challenging exercise. Furthermore, the needs and objectives of an economic endeavour evolve over time so that a corporate form that used to be perfectly adequate may appear inappropriate over time.
Objectives
This session will provide participants with simple guidelines to adequately choose between the multiple corporate forms available, as well as with a broad toolbox on how to ensure that a company retains a corporate form perfectly tailored to its needs throughout its existence.

Main criteria for choosing the right company form among SA / SARL and SCA:
Shareholders (number and liability)
Directors / managers (number, quorum and majority rules)
Share capital (minimum, contributions in cash/kind, authorised share capital)
Shares (nominal value, listing, non-voting and tracking shares, transfer and redemption of shares)
